Welcome to JFE TRADING INC (“JFE,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services related to telescopes and accessories (collectively, the “Services”). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility & Accounts
1.1 Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase from us.
1.2 Account Security. If you create an account, you are responsible for maintaining its confidentiality and for all activity under it. Notify us immediately of any unauthorized use.
1.3 Accuracy of Information. You agree to provide current, complete, and accurate information and to update it as needed.
2. Orders, Pricing & Payment
2.1 Offer & Acceptance. Your order is an offer to buy. We may accept or reject any order at our sole discretion (e.g., for suspected fraud, pricing/stock errors). We will refund any amounts paid for rejected orders.
2.2 Pricing & Errors. Prices are shown in the currency indicated at checkout and may change without notice. If we discover a pricing or product information error, we may cancel your order and refund you, or contact you for instructions before shipping.
2.3 Taxes & Duties. You are responsible for any applicable sales tax, VAT/GST, customs duties, brokerage fees, and import taxes. Amounts collected at checkout are estimates; additional charges may be due on delivery.
2.4 Payment Methods. We accept the payment methods shown at checkout. By submitting payment, you represent you are authorized to use the payment instrument and authorize us (or our payment processor) to charge the full order total.
3. Shipping, Delivery & Risk of Loss
3.1 Shipping Times. Any shipping or delivery dates provided are estimates only and not guaranteed.
3.2 Risk of Loss; Title. Title and risk of loss pass to you upon our delivery of the items to the carrier.
3.3 Partial Shipments. We may ship items separately to expedite delivery; you will not be charged extra shipping beyond what is shown at checkout.
3.4 Damage/Shortages. Inspect packages upon receipt. Report visible damage or shortages to the carrier at delivery when possible and notify us in writing within 5 business days of delivery with photos and your order number.
4. International Customers
4.1 Import Compliance. You are the importer of record and responsible for ensuring the products can be lawfully imported and used in your country.
4.2 Customs Delays. Customs inspections may delay delivery. We are not responsible for delays caused by customs or other authorities.
5. Returns, Exchanges & Refunds
5.1 Policy Reference. Our Return & Refund Policy (the “Return Policy”) is incorporated into these Terms. Please review the Return Policy posted on our website before purchasing.
5.2 Condition & Authorization. Returns generally require prior authorization (RMA), original packaging, all accessories, and proof of purchase. Unauthorized returns may be refused.
5.3 Non-Returnable Items. Certain products (e.g., consumables, special orders, used/open-box, software, items with signs of misuse) may not be eligible for return—see the Return Policy for details.
6. Product Information, Compatibility & Use
6.1 Specifications. We strive for accuracy, but specifications, features, and availability may change without notice. Minor cosmetic variations and color/display differences may occur.
6.2 Compatibility. You are responsible for verifying compatibility (e.g., telescope mounts, dovetails, backfocus, power, software/firmware). Contact us before purchase if unsure.
6.3 Safe Use. Use all products responsibly and according to manufacturer instructions. Never look at the sun through any optical device without a proper solar filter; serious eye injury or blindness can occur.
6.4 Laser Accessories. If you purchase laser finders or pointers, you must comply with all applicable laws and safety rules (e.g., do not aim at aircraft or vehicles; observe power restrictions).
6.5 No Professional Advice. Any content or recommendations we provide are for general information only and do not constitute professional, scientific, medical, or safety advice.
7. Warranty
7.1 Manufacturer Warranties. Products may be covered by a manufacturer’s warranty, if any, as described in the product documentation.
7.2 JFE Warranty (if stated). If we offer a JFE-provided warranty for a product, the warranty terms will be stated on the product page or included with the product.
7.3 Exclusions. Warranties typically do not cover normal wear, misuse, improper installation, modifications, accidents, or unauthorized repairs.
7.4 Remedies. To the maximum extent permitted by law, your exclusive remedy for warranty claims is repair, replacement, or refund (at our option).
8. Intellectual Property & Site Use
8.1 Ownership. The website, its content, text, graphics, logos, product images, and other materials are owned by JFE or our licensors and are protected by IP laws.
8.2 Limited License. We grant you a limited, non-exclusive, non-transferable license to access and use the site for personal, non-commercial shopping purposes.
8.3 Prohibited Uses. You agree not to: (a) copy, scrape, or data-mine content; (b) reverse engineer the site; (c) interfere with site security; (d) use the site for fraudulent or illegal purposes; or (e) use our trademarks without prior written consent.
9. User Content (Reviews, Photos, Q&A)
9.1 Your Responsibility. You represent you have all rights to content you submit and that it is accurate, lawful, and non-infringing.
9.2 License to JFE. By submitting content, you grant JFE a worldwide, royalty-free license to use, reproduce, modify, publish, and display it in connection with the Services and marketing.
9.3 Moderation. We may remove or refuse content for any reason, including if it is false, obscene, defamatory, infringing, or spam.
10. Software, Firmware & Third-Party Links
10.1 Software/Firmware. Use of any included or downloadable software or firmware may be subject to additional license terms.
10.2 Third-Party Links. Linked sites are not under our control. We are not responsible for their content, policies, or practices.
11. Privacy
11.1 Privacy Policy. Our processing of personal data is described in our Privacy Policy, which is incorporated by reference. By using the Services, you consent to those practices.
12. Compliance, Export & Sanctions
12.1 Export Controls. You agree to comply with all applicable U.S. and international export laws and sanctions, and not to export, re-export, or transfer products to prohibited destinations or parties.
12.2 Prohibited Uses. You will not use the products for any prohibited end-use (e.g., weapons proliferation) under applicable laws.
13. Disclaimers
13.1 As-Is. Except as expressly stated, the Services and products are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13.2 Availability. We do not guarantee uninterrupted or error-free operation of the site or that defects will be corrected.
14. Limitation of Liability
14.1 No Indirect Damages. To the maximum extent permitted by law, JFE will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.
14.2 Cap. To the maximum extent permitted by law, JFE’s total liability for any claim arising out of or relating to the Services or any product will not exceed the amount you paid to JFE for the product giving rise to the claim in the 12 months preceding the event.
14.3 Essential Basis. These limitations form an essential basis of the bargain between you and JFE.
15. Indemnification
You agree to indemnify and hold harmless JFE and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or misuse of the Services.
16. Force Majeure
We are not responsible for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, shortages, war, terrorism, government actions, epidemics, or failures of suppliers, carriers, or communications.
17. Changes to the Services & Terms
We may modify the Services or these Terms at any time. Changes become effective when posted on the site with an updated “Effective date.” Your continued use of the Services after changes are posted constitutes acceptance.
18. Governing Law & Dispute Resolution
18.1 Law & Venue. These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any dispute not subject to arbitration or small-claims exceptions.
18.2 Informal Resolution. Before filing suit, you agree to first contact us at support@onetelescope.com and attempt to resolve the dispute informally in good faith for at least 30 days.
18.3 Consumers. If mandatory consumer protection laws in your country of residence provide you with additional rights or remedies, those rights remain unaffected to the extent required by law.
19. Severability; Assignment; Entire Agreement; No Waiver
If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. You may not assign your rights or obligations without our prior written consent. These Terms (together with any policies referenced herein) are the entire agreement between you and JFE regarding the Services. Our failure to enforce any provision is not a waiver.
